1. Introduction and Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the South EST platform, including all related websites, applications, APIs, and services (collectively, the “Platform”), operated by Eastern Shore Technologies LLC, a Maryland limited liability company (“Eastern Shore Technologies,” “we,” “us,” or “our”).

By accessing or using the Platform, whether as a hotel partner, loyalty program member, or visitor, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

South EST is a software-as-a-service (SaaS) loyalty platform designed for independent hotels and hospitality businesses. We build, host, and maintain branded loyalty programs on behalf of our hotel partners. The Platform includes:

  • A member-facing application where hotel guests can view their points balances, tier status, available rewards, earned badges, and program activity.
  • An administrative dashboard for hotel partners to manage members, credit stays, configure rewards and tiers, view analytics, and operate their loyalty program.
  • Automated email communications including post-stay follow-ups, activation reminders, and program notifications sent on behalf of hotel partners.
  • A points and rewards engine that tracks earning, redemptions, milestones, and tier progression according to each hotel partner’s configured program rules.
  • Settlement and reporting tools for financial reconciliation between hotel properties within a loyalty program.

3. Account Terms

Hotel Partners: Hotel partners subscribe to the Platform to operate branded loyalty programs for their guests. Hotel partners are responsible for their own loyalty program rules, reward definitions, reward fulfillment, guest communications, pricing, and compliance with applicable laws. Eastern Shore Technologies provides the technology platform; the hotel partner operates the loyalty program.

Loyalty Members: Loyalty member accounts are created through hotel partner programs. By enrolling in a hotel partner’s loyalty program, you create an account on the Platform and agree to these Terms as well as the specific program rules established by the hotel partner.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Restrictions: Each account is for a single individual and is non-transferable. You may not share your account credentials, create multiple accounts for the same person, or transfer your account to another individual. Hotel partner administrative accounts may be shared among authorized staff at the hotel partner’s discretion, but each login session is attributable to the hotel partner.

4. Points and Rewards

Points earned through hotel partner loyalty programs on the Platform are subject to the following terms:

  • Points have no cash value and cannot be redeemed for, exchanged for, or converted into cash, check, money order, or any other form of currency.
  • Points balances and the availability of specific rewards are determined solely by the hotel partner operating the loyalty program. Eastern Shore Technologies does not control which rewards are offered, their redemption cost, or their availability.
  • We reserve the right to adjust points balances to correct errors, address fraud or abuse, or resolve discrepancies, in coordination with the relevant hotel partner.
  • Points may expire according to the hotel partner’s program rules. It is your responsibility to review and understand the expiration policies of each loyalty program in which you participate.
  • Program rules, including earning rates, tier thresholds, reward options, and benefits, are subject to change at the hotel partner’s discretion. Hotel partners may modify, suspend, or discontinue their loyalty program at any time.
  • Rewards are fulfilled by the hotel partner, not by Eastern Shore Technologies. We are not responsible for the quality, availability, or delivery of any reward offered through the Platform.

5. Data Handling and Privacy

Your privacy matters to us. Please review our Privacy Policy for details on how we collect, use, and protect your information.

Hotel Partners as Data Controllers: Hotel partners are the data controllers for their guest and member data. They determine the purposes and means of processing personal data collected through their loyalty programs.

Eastern Shore Technologies as Data Processor: Eastern Shore Technologies LLC acts as a data processor, processing guest and member data on behalf of and at the direction of hotel partners. We process personal data only as necessary to provide the Platform services and as instructed by the hotel partner.

Data Ownership: Guest and member data belongs to the hotel partner, not to Eastern Shore Technologies or South EST. Upon termination of a hotel partner’s subscription, the hotel partner retains full ownership of their data and may request an export.

6. Acceptable Use

You agree not to engage in any of the following prohibited activities:

  • Fraud and Abuse: Creating fraudulent accounts, submitting false information, manipulating points balances, abusing reward redemptions, or engaging in any deceptive activity designed to exploit the Platform or a hotel partner’s loyalty program.
  • Automated Access: Using bots, scripts, crawlers, scrapers, or any automated means to access, collect data from, or interact with the Platform without our express written permission.
  • Interference: Interfering with, disrupting, or placing an unreasonable burden on the Platform or its underlying infrastructure, including attempts to probe, scan, or test the vulnerability of the system.
  • Impersonation: Impersonating another person, misrepresenting your affiliation with any entity, or using another person’s account without authorization.
  • Unlawful Use: Using the Platform for any purpose that is illegal or prohibited by these Terms, or that infringes on the rights of any third party.

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating access to the Platform and reporting activity to law enforcement.

7. Intellectual Property

Platform Ownership: The South EST platform, including its design, code, features, functionality, documentation, and underlying technology, is owned by Eastern Shore Technologies LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

Hotel Partner Content: Hotel partners retain all rights to their own branding, logos, images, copy, and other content uploaded to or displayed through the Platform. By uploading content, hotel partners grant Eastern Shore Technologies a limited, non-exclusive license to display and distribute that content solely as necessary to operate the Platform on their behalf.

Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose during the applicable subscription period or membership. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Platform, nor to reverse-engineer or attempt to extract the source code of the Platform.

8. Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Eastern Shore Technologies LLC is not liable for any business decisions made based on data, analytics, reports, or insights provided through the Platform. Hotel partners are responsible for verifying the accuracy of program data and making independent business judgments.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASTERN SHORE TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EASTERN SHORE TECHNOLOGIES LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR LOYALTY MEMBERS WHO DO NOT PAY FEES DIRECTLY TO US, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

9. Indemnification

Hotel partners agree to indemnify, defend, and hold harmless Eastern Shore Technologies LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • The hotel partner’s operation of its loyalty program, including program rules, reward fulfillment, guest communications, and marketing activities.
  • Any breach of these Terms or violation of applicable law by the hotel partner or its employees, agents, or contractors.
  • Any dispute between the hotel partner and its guests or loyalty members regarding the loyalty program, rewards, or services.
  • Any content, data, or materials uploaded to the Platform by the hotel partner that infringe on third-party rights.

10. Termination

Termination by Either Party: Either party may terminate a hotel partner subscription by providing thirty (30) days’ written notice to the other party. Written notice may be delivered via email to the addresses on file.

Suspension for Violations: We may suspend or terminate your access to the Platform immediately and without prior notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to the Platform, other users, or third parties.

Data After Termination: Upon termination of a hotel partner’s subscription, we will make the hotel partner’s data available for export for thirty (30) days following the effective date of termination. After this 30-day period, we reserve the right to delete all data associated with the terminated account. It is the hotel partner’s responsibility to request and complete any data export within this period.

Effect of Termination: Upon termination, your right to access and use the Platform will cease immediately (subject to the data export period for hotel partners). Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in the State of Maryland, and you consent to the personal jurisdiction of such courts. You waive any objection to venue in such courts.

12. Changes to Terms

We reserve the right to modify or update these Terms at any time. When we make material changes, we will notify affected users by email, in-app notification, or by posting a prominent notice on the Platform. The “Last updated” date at the top of this page will be revised accordingly.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
